Publisher terms

Effective Date: August 4, 2026

These Publisher Network Terms of Service (“Terms”) constitute a legally binding agreement between Careerpilot Holdings, Inc. (“Careerpilot,” “Company,” “we,” “our,” or “us”) and any individual or entity (“Publisher,” “Partner,” or “you”) participating in the Careerpilot Publisher Network.

By accessing, integrating with, distributing content from, sending traffic to, or otherwise participating in the Careerpilot Publisher Network, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable Insertion Order (“IO”).

1. Overview

Careerpilot operates a technology platform for hiring intelligence, candidate engagement, application distribution, assessment, verification, and recruitment.

The Careerpilot Publisher Network enables approved publishers to distribute employment opportunities and generate candidate applications through Careerpilot technologies and services.

Services may include:

  • Job feeds
  • XML feeds
  • APIs
  • Hosted Apply experiences
  • Easy Apply integrations
  • Apply-to-Test workflows
  • Candidate assessments
  • Candidate verification services
  • Identity verification services
  • Job alert programs
  • Email and SMS campaigns, when allowed
  • Widgets and embedded tools
  • Programmatic job distribution services
  • Reporting and analytics services

Collectively, these services are referred to as the “Services.”

Careerpilot may obtain job listings, campaign opportunities, pricing information, and related content directly from employers or from third-party advertisers, job boards, recruitment platforms, networks, aggregators, agencies, or other sources. Publisher acknowledges that such third-party arrangements may include variable pricing, application validation requirements, budget limitations, reporting adjustments, reconciliation procedures, and other factors outside Careerpilot’s control.

2. Eligibility

To participate in the Careerpilot Publisher Network, Publisher represents and warrants that:

  • Publisher has the authority to enter into these Terms.
  • All information provided to Careerpilot is accurate and current.
  • Publisher operates a legitimate website, application, advertising platform, recruitment platform, talent community, media property, or other approved traffic source.
  • Publisher will comply with all applicable laws and regulations.

Careerpilot reserves the right to approve, reject, suspend, or terminate any Publisher at its discretion.

3. Publisher Account

Participation in the Network may require an active Publisher account.

Publisher is responsible for:

  • Maintaining accurate account information.
  • Protecting account credentials.
  • Restricting unauthorized access.
  • All activities conducted through its account.

Publisher must immediately notify Careerpilot of any unauthorized use of its account.

4. Authorized Use

Publisher may use the Services solely for lawful employment advertising, candidate acquisition, candidate engagement, and recruitment-related activities.

Publisher shall not:

  • Use the Services for unlawful purposes.
  • Misrepresent employment opportunities.
  • Misrepresent employers or compensation.
  • Circumvent Careerpilot systems.
  • Modify Careerpilot tracking mechanisms.
  • Interfere with candidate workflows.

Careerpilot reserves the right to restrict or revoke access to any Service at any time.

5. Job Feed and API Usage

Careerpilot may provide Publishers with job content through APIs, XML feeds, hosted apply solutions, embedded widgets, or other approved distribution technologies (collectively, the “Job Feed”).

By accessing or distributing the Job Feed, Publisher agrees to:

  • Maintain active connectivity to Careerpilot’s Job Feed and comply with all published technical specifications and implementation requirements.
  • Preserve all Careerpilot tracking parameters, attribution tags, redirects, reporting mechanisms, and application URLs without modification.
  • Display Careerpilot job content accurately and in its entirety, including job titles, employer names, locations, compensation where provided, employment type, job descriptions, branding, qualifications, and application links.
  • Refresh and synchronize job content regularly to maintain the accuracy and availability of listings.
  • Promptly remove expired, filled, withdrawn, or otherwise unavailable job listings upon receipt of updated feed data from Careerpilot.
  • Refrain from modifying, rewriting, supplementing, truncating, or misrepresenting Careerpilot job content without Careerpilot’s prior written consent.

Careerpilot may index and synchronize employer and third-party job feeds multiple times per day. During synchronization cycles, deletion requests may be processed before new or updated job listings in order to expedite removal of expired or unavailable positions.

Careerpilot’s maximum billable click latency period is twelve (12) hours from the time a job is removed from the Careerpilot platform. Traffic occurring after this twelve (12) hour period will not be considered billable unless Careerpilot agrees otherwise.

Careerpilot reserves the right to modify, suspend, limit, or discontinue any Job Feed, API, hosted solution, integration, technical specification, job listing, pricing field, campaign, or related Service at any time to maintain platform integrity, security, operational performance, compliance, partner requirements, or business needs.

6. Traffic Quality Requirements

Publisher shall provide only genuine candidate traffic and legitimate candidate applications.

Publisher shall not generate, purchase, submit, or permit:

  • Fraudulent traffic
  • Automated traffic
  • Bot traffic
  • Artificial applications
  • Incentivized applications
  • Duplicate applications
  • Synthetic identities
  • False candidate information
  • Misleading advertisements
  • Deceptive recruiting practices

Careerpilot reserves the right to review and investigate any traffic source, application, candidate submission, or other event.

7. Candidate Assessments and Verification

Careerpilot may require candidates to complete:

  • Assessments
  • Screening questions
  • Skill validations
  • Identity verification
  • Resume verification
  • Interview-Ready workflows
  • Other qualification processes

Publisher shall not:

  • Circumvent assessment workflows.
  • Modify assessment content.
  • Distribute assessment answers.
  • Reverse-engineer Careerpilot scoring methodologies.
  • Interfere with candidate verification processes.

All assessment content, verification systems, methodologies, scoring models, and related intellectual property remain the exclusive property of Careerpilot.

8. Candidate Ownership and Non-Circumvention

Publisher acknowledges that candidates originating through Careerpilot Services, including applications, assessments, verification workflows, candidate portals, Interview-Ready programs, and related technologies, are subject to Careerpilot’s candidate engagement and management processes.

Publisher shall not:

  • Extract candidate information for resale.
  • Sell candidate information to third parties.
  • Redirect candidates away from Careerpilot workflows while jobs are active.
  • Circumvent Careerpilot application, assessment, or verification processes.
  • Create competing candidate databases using information obtained through Careerpilot Services.
  • Repurpose candidate information outside authorized recruitment activities.
  • Remove Careerpilot tracking mechanisms.

Any attempt to circumvent Careerpilot’s systems or candidate engagement processes shall constitute a material breach of these Terms.

9. Privacy and Data Protection

Publisher shall comply with all applicable privacy and data protection laws, including applicable federal, state, and international regulations.

Publisher shall not:

  • Sell candidate information obtained through Careerpilot.
  • Share candidate information with unauthorized parties.
  • Use candidate information for unauthorized purposes.
  • Collect candidate information through deceptive means.

Publisher is responsible for maintaining all legally required notices, permissions, and consents.

10. Email and SMS Compliance

Any email, SMS, or messaging activity involving Careerpilot Services must comply with all applicable laws and regulations, including but not limited to:

  • CAN-SPAM Act
  • Telephone Consumer Protection Act (TCPA)
  • State privacy regulations
  • Applicable international regulations

Publisher shall maintain records demonstrating compliance where required.

Careerpilot reserves the right to request proof of compliance at any time.

11. Intellectual Property

Careerpilot retains all rights, title, and interest in:

  • Software
  • APIs
  • Job feeds
  • Assessment systems
  • Verification systems
  • Candidate scoring systems
  • Documentation
  • Trademarks
  • Logos
  • Branding
  • Technology

Publisher receives a limited, revocable, non-exclusive, non-transferable license to use Careerpilot materials solely for participation in the Network. No ownership rights are transferred to Publisher.

12. Compensation; Dynamic CPA Pricing

12.1 Eligible Events

Careerpilot may compensate Publishers for candidate events generated through approved traffic sources and determined by Careerpilot to be eligible for payment (“Eligible Events”).

Eligible Events may include:

  • Qualified Applications or Cost-Per-Application events (“CPA”)
  • Completed or authenticated candidate applications (“CPAC”)
  • Candidate verification events
  • Assessment completion events
  • Other approved recruitment outcome events

Careerpilot shall determine event attribution, event eligibility, event validity, application count, and compensation eligibility in accordance with these Terms.

12.2 Target CPA

Careerpilot may transmit, display, report, or otherwise associate a CPA amount with a job listing, Job Feed record, API record, campaign, dashboard, portal, report, or other communication.

Any such CPA amount associated with a job before Careerpilot’s final month-end compensation determination is referred to in these Terms as the “Target CPA,” regardless of whether the applicable technical field, feed parameter, interface, report, or communication is labeled “CPA,” “Dynamic CPA,” “Target CPA,” or otherwise.

A Target CPA is an indicative pricing signal provided for campaign planning, traffic allocation, optimization, and performance evaluation purposes. It is not a guaranteed, fixed, or earned rate of compensation.

Publisher acknowledges and agrees that the Target CPA associated with a job may differ, including materially, from the compensation ultimately payable for an Eligible Event.

12.3 Dynamic CPA

Unless an applicable IO expressly designates a CPA as Fixed, all CPA pricing provided by Careerpilot shall be considered Dynamic CPA pricing.

Under Dynamic CPA pricing:

  • Target CPA values may increase or decrease at any time.
  • The amount payable for one Eligible Event may differ from the amount payable for another Eligible Event associated with the same job.
  • Compensation may change during a calendar month.
  • Compensation may be calculated, adjusted, allocated, or averaged across applications associated with a job listing, employer, campaign, source, reporting period, or other grouping Careerpilot determines appropriate.
  • A Target CPA transmitted when a candidate clicked, viewed, began, or completed an application does not establish or vest a right to payment at that Target CPA.
  • Careerpilot is not required to apply the same Dynamic CPA methodology to different jobs, employers, campaigns, sources, reporting periods, or circumstances.

Careerpilot shall determine Dynamic CPA compensation in its discretion and may consider any commercial, operational, technical, performance, quality, market, or other factors it considers relevant.

Such factors may include, without limitation:

  • Employer or advertiser pricing
  • Job-board or network pricing
  • Upstream compensation or adjustments
  • Application volume
  • Conversion performance
  • Traffic quality
  • Candidate quality
  • Budget utilization
  • Remaining campaign budgets
  • Job-level performance
  • Employer-level performance
  • Geographic or occupational characteristics
  • Market conditions
  • Pricing changes
  • Validation results
  • Application reversals
  • Chargebacks
  • CPA averaging
  • Campaign optimization
  • Historical or anticipated performance
  • Programmatic distribution considerations
  • Revenue optimization
  • Changes made by employers, advertisers, job boards, networks, or other third parties
  • Other factors Careerpilot considers appropriate in managing the Network

Careerpilot shall have no obligation to disclose its Dynamic CPA methodology, calculations, margins, optimization strategies, or the weight given to any particular factor.

12.4 No Revenue Share or Pass-Through Relationship

Unless expressly agreed otherwise in a separate written agreement signed by Careerpilot, Publisher compensation is not a revenue share, commission, pass-through payment, or fixed percentage of any amount Careerpilot receives or expects to receive from an employer, advertiser, job board, network, agency, or other third party.

Publisher acknowledges that:

  • Careerpilot may receive more or less from a third party than Careerpilot anticipated.
  • Careerpilot may receive different amounts for different applications associated with the same job.
  • Careerpilot may determine Publisher compensation without applying a fixed mathematical relationship to Careerpilot’s upstream compensation.
  • Publisher compensation may be greater than, equal to, or less than an amount Careerpilot receives with respect to a particular application or job.
  • Careerpilot may use averaging or other optimization methodologies in determining Publisher compensation.
  • Publisher has no right to inspect, audit, receive, or require disclosure of Careerpilot’s third-party agreements, pricing, revenue, margins, compensation arrangements, or internal pricing methodology.

Upstream pricing or compensation is one factor Careerpilot may consider but does not create any entitlement or payment formula in favor of Publisher.

12.5 Interim Reporting

Careerpilot may make application counts, CPA values, compensation information, and other performance information available during a calendar month through daily reports, month-to-date reports, APIs, dashboards, portals, email reports, or other systems or communications (“Interim Reporting”).

All Interim Reporting is provisional and subject to change.

Careerpilot may revise Interim Reporting at any time before issuance of the applicable Final Month-End Report, including by:

  • Changing Target CPA or then-current CPA values
  • Adjusting application counts
  • Reclassifying events
  • Applying averaging
  • Correcting attribution
  • Reversing applications
  • Applying validation results
  • Correcting errors
  • Reconciling third-party information
  • Adjusting compensation
  • Applying other Dynamic CPA methodologies

Publisher acknowledges that no Interim Reporting, including a daily report or dashboard value, creates a vested right to compensation at the amount then shown.

12.6 Final Month-End Report and Final Publisher Compensation

For each calendar month, Careerpilot will designate a month-end report, dashboard record, portal record, statement, or other system-of-record reporting as its final compensation determination for that reporting period (the “Final Month-End Report”).

The Final Month-End Report may reflect or aggregate daily or other activity occurring during the applicable calendar month.

The number of Eligible Events and compensation reflected in the Final Month-End Report shall constitute the amounts payable to Publisher for the applicable calendar month (“Final Publisher Compensation”), subject to:

  • Publisher’s timely dispute rights under Section 13;
  • fraud, invalid traffic, duplicate activity, verification failures, chargebacks, reversals, technical errors, or other matters described in these Terms; and
  • later corrections or adjustments based upon information not reasonably available to Careerpilot when the Final Month-End Report was issued.

Careerpilot’s Final Month-End Report and underlying systems shall be the system of record between Careerpilot and Publisher for determining:

  • Traffic attribution
  • Eligible Events
  • Application counts
  • Event validity
  • Dynamic CPA determinations
  • Payable CPA amounts
  • Adjustments
  • Reversals
  • Final Publisher Compensation

Publisher reports, tracking systems, analytics platforms, click counts, conversion estimates, invoices, or third-party systems may be used by Publisher for internal analysis but shall not supersede Careerpilot’s system of record.

12.7 Compensation Adjustments and Invalid Activity

Careerpilot may reject, reverse, adjust, withhold, offset, or deny compensation associated with:

Fraudulent Activity. Bots, fake accounts, automated submissions, click fraud, incentivized traffic, or other deceptive activity.

Invalid Applications. Incomplete, inaccurate, ineligible, expired, or otherwise non-genuine applications.

Duplicate Applications. Multiple submissions by the same candidate for the same or substantially similar position where only one application is considered valid.

Invalid Traffic. Non-human, manipulated, accidental, unauthorized, or otherwise non-genuine traffic.

Employer or Advertiser Adjustments. Transactions that are refunded, disputed, canceled, repriced, reversed, rejected, charged back, or otherwise adjusted.

Verification Failures. Events that fail Careerpilot’s fraud, identity, eligibility, quality, or other verification processes.

Technical Errors. Tracking, reporting, integration, synchronization, data-processing, or system errors that result in incorrect events or compensation.

Attribution Errors. Events subsequently determined not to be properly attributable to Publisher.

Third-Party Reconciliation. Adjustments resulting from information subsequently received from an employer, advertiser, job board, network, agency, ATS, or other third party.

Other Invalid or Non-Payable Activity. Events Careerpilot determines do not satisfy applicable campaign requirements or the purposes of the Network.

Careerpilot may withhold payment while investigating questionable activity.

Careerpilot’s determination regarding traffic validity, event eligibility, attribution, and compensation shall be final, subject to the dispute procedure in Section 13.

12.8 Publisher Evaluation of Economics

Publisher acknowledges that it is solely responsible for evaluating whether participation in the Network, distribution of a particular job, and the compensation ultimately realized through Careerpilot satisfy Publisher’s own commercial objectives.

Careerpilot does not determine whether a particular Target CPA, Dynamic CPA, effective cost-per-click, conversion rate, or realized compensation level is economically acceptable to Publisher.

Publisher may determine, in its own discretion and subject to these Terms and any applicable IO, whether to increase, decrease, suspend, or discontinue distribution of Careerpilot jobs.

If Publisher determines that the economics associated with Careerpilot traffic or job inventory are no longer acceptable, Publisher’s prospective commercial remedy is to reduce or discontinue traffic and, where desired, terminate its participation in accordance with Section 16.

Nothing in this Section limits Publisher’s right to submit a timely good-faith dispute concerning a Final Month-End Report pursuant to Section 13 or any right that cannot legally be waived.

13. Payments; Reconciliation and Disputes

Unless otherwise agreed in an applicable IO or other signed writing:

  • Payments are issued on a Net 30 basis following receipt of a valid Publisher invoice where an invoice is required.
  • Publisher invoices must be based upon and conform to the applicable Final Month-End Report.
  • Submission of an invoice does not independently establish the number of payable events or the amount due.
  • Payments are subject to fraud review, reconciliation, validation, and these Terms.
  • Careerpilot may withhold payments pending investigation of questionable activity.
  • Careerpilot may offset future payments against amounts previously overpaid, reversed, charged back, or otherwise owed to Careerpilot.
  • Publishers are solely responsible for taxes and reporting obligations.

13.1 Fifteen-Day Reconciliation Period

Publisher shall review each Final Month-End Report promptly.

Any dispute concerning:

  • Application or event counts
  • Attribution
  • Event eligibility
  • Payable CPA
  • Dynamic CPA calculations
  • Adjustments or reversals
  • Final Publisher Compensation
  • Any other compensation-related item

must be submitted to Careerpilot in writing within fifteen (15) calendar days after Careerpilot delivers or makes available the applicable Final Month-End Report.

The dispute must identify with reasonable specificity:

  • The event, application, job, or amount disputed;
  • The nature of the alleged discrepancy;
  • Publisher’s proposed correction; and
  • Supporting records or data reasonably available to Publisher.

If Publisher does not submit a timely written dispute, the Final Month-End Report and amounts reflected therein shall be deemed accepted by Publisher.

Careerpilot will review timely submitted disputes in good faith. Careerpilot’s determination following such review shall be final.

The existence of a dispute shall not delay payment of undisputed amounts.

13.2 Subsequent Corrections

Notwithstanding issuance or acceptance of a Final Month-End Report, Careerpilot may subsequently correct, reverse, offset, or adjust compensation where reasonably necessary to address fraud, duplicate applications, chargebacks, third-party reversals, technical errors, attribution errors, previously unavailable information, or other circumstances described in Section 12.7.

Any resulting overpayment may be deducted from future amounts otherwise payable to Publisher or recovered by Careerpilot through other lawful means.

14. Fraud Prevention and Traffic Validation

Careerpilot maintains fraud prevention systems designed to protect employers, publishers, candidates, and the Network.

Careerpilot may utilize:

  • Identity verification
  • Device fingerprinting
  • Behavioral analytics
  • Traffic monitoring
  • Candidate authentication
  • Application validation
  • Third-party fraud detection services

Careerpilot reserves the right to review, reject, invalidate, reverse, withhold payment for, or remove any traffic, application, candidate, or event determined to be fraudulent, invalid, suspicious, duplicate, misleading, artificially generated, or otherwise inconsistent with the purposes of the Network.

Careerpilot’s determination regarding traffic validity and event eligibility shall be final, subject to the dispute procedure in Section 13.

15. Confidentiality

Publisher shall not disclose or use Confidential Information except as authorized by Careerpilot.

Confidential Information includes:

  • Pricing information
  • Revenue information
  • Reporting data
  • Technical documentation
  • Product information
  • Candidate scoring methodologies
  • Verification methodologies
  • Dynamic CPA methodologies
  • Optimization methodologies
  • Business plans
  • Non-public information

Publisher acknowledges that Careerpilot’s upstream pricing, margins, advertiser compensation, job-source economics, internal pricing calculations, and related commercial information constitute Careerpilot Confidential Information to the extent disclosed or otherwise made available to Publisher.

Confidentiality obligations survive termination.

16. Term and Termination

These Terms remain effective until terminated.

Unless an applicable IO provides otherwise, either party may terminate participation upon written notice.

Where an IO establishes a specific notice period, including a five (5) business-day termination period, that notice period shall apply.

Careerpilot may suspend or terminate Publisher participation immediately for any reason permitted under these Terms, including:

  • Violation of these Terms
  • Fraudulent activity
  • Traffic quality concerns
  • Regulatory concerns
  • Reputational concerns
  • Employer or advertiser requirements
  • Commercial or business reasons

Publisher acknowledges that Careerpilot does not guarantee the continued availability, pricing, volume, performance, or economics of any job, employer, campaign, or traffic opportunity.

Publisher may discontinue distribution or terminate participation if Publisher determines that the economics or other terms of participation no longer satisfy Publisher’s objectives.

Upon termination:

  • All licenses immediately terminate.
  • Publisher shall cease all use of Services.
  • Publisher shall remove Careerpilot materials.
  • Publisher shall destroy or return Confidential Information upon request.
  • Careerpilot shall remain responsible only for Final Publisher Compensation validly due for Eligible Events occurring before termination, as determined under Sections 12 and 13.
  • Termination shall not convert any Target CPA, Interim Reporting amount, estimated compensation, or other non-final amount into a payment obligation.

Sections that by their nature should survive termination, including payment reconciliation, confidentiality, intellectual property, limitations of liability, indemnification, dispute resolution, and accrued rights, shall survive.

17. Disclaimer of Warranties and Commercial Results

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREERPILOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT

CAREERPILOT DOES NOT GUARANTEE:

  • REVENUE
  • PROFITABILITY
  • APPLICATION VOLUME
  • CANDIDATE VOLUME
  • HIRING OUTCOMES
  • CAMPAIGN AVAILABILITY
  • JOB AVAILABILITY
  • SYSTEM AVAILABILITY
  • ANY PARTICULAR TARGET CPA
  • ANY PARTICULAR PAYABLE CPA
  • ANY PARTICULAR EFFECTIVE COST-PER-CLICK
  • CLICK-TO-APPLICATION CONVERSION RATES
  • TRAFFIC MONETIZATION
  • CONTINUED EMPLOYER OR ADVERTISER BUDGET
  • CONTINUED UPSTREAM PRICING
  • THE ACCURACY OR CONTINUED AVAILABILITY OF INTERIM REPORTING
  • THAT A TARGET CPA WILL BE REALIZED AS FINAL PUBLISHER COMPENSATION

Publisher assumes responsibility for determining whether participation in the Network and the realized economics of such participation meet Publisher’s requirements.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREERPILOT SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • CONSEQUENTIAL DAMAGES
  • INCIDENTAL DAMAGES
  • SPECIAL DAMAGES
  • PUNITIVE DAMAGES
  • LOST PROFITS
  • LOST REVENUE
  • LOST BUSINESS OPPORTUNITIES
  • LOST TRAFFIC OPPORTUNITIES
  • CHANGES IN TARGET CPA
  • DIFFERENCES BETWEEN TARGET CPA AND FINAL PUBLISHER COMPENSATION
  • CHANGES IN EMPLOYER, ADVERTISER, OR THIRD-PARTY PRICING
  • CAMPAIGN BUDGET CHANGES
  • INTERIM REPORTING ADJUSTMENTS
  • DISTRIBUTION OR PLACEMENT DECISIONS MADE BY PUBLISHER OR ITS ALGORITHMS IN RELIANCE UPON TARGET CPA OR INTERIM REPORTING

Publisher acknowledges that Target CPA and Interim Reporting are provided for operational and planning purposes subject to the express limitations contained in these Terms.

Nothing in these Terms shall require Careerpilot to pay a Target CPA or an amount previously displayed through Interim Reporting when a different amount is reflected in Careerpilot’s applicable Final Month-End Report.

CAREERPILOT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR AN APPLICABLE IO SHALL NOT EXCEED THE AMOUNT PAID BY CAREERPILOT TO PUBLISHER DURING THE THREE (3) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations in this Section apply regardless of the theory of liability and to the maximum extent permitted by applicable law.

19. Indemnification

Publisher agrees to defend, indemnify, and hold harmless Careerpilot Holdings, Inc., its affiliates, officers, directors, employees, contractors, clients, advertisers, job-source partners, and other partners from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Publisher content
  • Publisher traffic
  • Publisher conduct
  • Violations of law
  • Violations of these Terms
  • Privacy violations

20. Assignment

Publisher may not assign these Terms without prior written consent from Careerpilot.

Careerpilot may assign these Terms without restriction.

21. Injunctive Relief

Publisher acknowledges that unauthorized use of Careerpilot’s intellectual property, confidential information, systems, candidate data, pricing methodologies, optimization methodologies, or verification technologies may cause irreparable harm.

Careerpilot shall be entitled to seek injunctive and equitable relief without the requirement to post bond, to the extent permitted by applicable law.

22. Governing Law and Arbitration

These Terms shall be governed by the laws of the State of Georgia, without regard to its conflict of laws principles.

Any dispute arising under or relating to these Terms, an applicable IO, the Services, Publisher compensation, or participation in the Careerpilot Publisher Network shall be resolved through confidential binding arbitration in Atlanta, Georgia.

The parties waive any right to participate in class actions, consolidated actions, or representative proceedings.

23. Public Reference Rights

Careerpilot may identify Publisher as a network participant in:

  • Marketing materials
  • Sales presentations
  • Partner directories
  • Investor materials

unless otherwise agreed in writing.

24. Modifications to These Terms

Careerpilot may modify these Terms from time to time.

Revised Terms will state their applicable effective date and may be published on Careerpilot’s website or otherwise made electronically available to Publisher.

For Publishers participating under an existing IO or other agreement incorporating these Terms, Careerpilot may provide notice of material revisions electronically, including by email to Publisher’s designated business contact.

Unless otherwise expressly stated by Careerpilot, continued access to Careerpilot Services, continued distribution of Careerpilot jobs, continued transmission of traffic to Careerpilot, or other continued participation in the Careerpilot Publisher Network on or after the effective date of revised Terms constitutes Publisher’s acceptance of the revised Terms.

If Publisher does not agree to revised Terms, Publisher must discontinue participation and terminate its relationship with Careerpilot in accordance with the applicable termination provisions before the revised Terms become applicable to Publisher.

Publisher is responsible for maintaining accurate contact information and reviewing notices and updated Terms made available by Careerpilot.

25. Notices

Official notices may be delivered electronically.

Notices from Careerpilot may be delivered to the email address, account contact, billing contact, or other electronic contact information maintained for Publisher.

Publisher is responsible for maintaining accurate contact information.

Notices concerning compensation disputes must comply with Section 13 and be delivered to the address or electronic contact designated by Careerpilot for publisher payment inquiries.

26. Entire Agreement; Order of Precedence

These Terms, together with each applicable IO, constitute the entire agreement between Careerpilot Holdings, Inc. and Publisher regarding participation in the Careerpilot Publisher Network and supersede all prior agreements, communications, representations, and understandings relating to the subject matter addressed herein.

In the event of a conflict between these Terms and an applicable IO, the IO shall control only to the extent the IO expressly and specifically states that a particular provision supersedes or modifies these Terms. Otherwise, these Terms shall control.

Without limiting the foregoing:

  • A Target CPA appearing in a Job Feed, API, job listing, dashboard, report, portal, email, or other communication does not modify these Terms or create a Fixed CPA.
  • Interim Reporting does not amend an IO or these Terms.
  • Publisher invoices do not amend an IO or these Terms.
  • Historical pricing, prior payments, course of dealing, prior averaging methodologies, or prior compensation practices do not obligate Careerpilot to use the same pricing or methodology in the future.
  • No oral statement, informal communication, feed field, dashboard value, report, or other operational information modifies Careerpilot’s Dynamic CPA rights unless contained in a written agreement expressly modifying these Terms and authorized by Careerpilot.

A CPA shall be considered Fixed only where an applicable IO or separate written agreement expressly identifies the CPA as Fixed and specifies the applicable fixed compensation amount.

27. Severability; No Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

Careerpilot’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

No waiver shall be effective unless made in writing by an authorized representative of Careerpilot.

28. Relationship of the Parties

Publisher is an independent contractor and not an employee, agent, partner, joint venturer, franchisee, fiduciary, or representative of Careerpilot.

Neither party has authority to bind the other except as expressly agreed in writing.

Publisher is responsible for its own business operations, traffic acquisition decisions, advertising expenditures, algorithms, job-placement decisions, subcontractors, personnel, taxes, and commercial results.
